PART A: UNIVERSAL TERMS

These Universal Terms apply to all users of the ReiterWelt website and all customers placing orders through our online store, regardless of whether the Customer is classified as a Consumer or a Business Customer. Additional terms in Part B (for Consumers) or Part C (for Business Customers) apply based on Customer classification.

1. DEFINITIONS

In these Terms of Service, the following terms shall have the meanings set out below:


  • "ReiterWelt," "we," "us," "our" means ReiterWelt sp. z o.o., a company registered in Poland with its registered office at Adama Mickiewicza 13/4, 82-300 Elbląg, Poland (NIP: PL5783158871).

  • "Website" means the online store and website located at www.reiterwelt.eu, hosted on Shopify Inc.

  • "Service" means the Website, online store, and all related services provided by ReiterWelt.

  • "Customer," "you," "your" means any natural or legal person using the Website or placing an order through our online store.

  • "Consumer" means a natural person who is acting for purposes which are outside their trade, business, craft, or profession.

  • "Business Customer" means any Customer who is not a Consumer, including legal entities (companies, partnerships, associations) and natural persons acting in their professional or commercial capacity.

  • "Products" means all goods offered for sale by ReiterWelt through the Website, including but not limited to aluminum jump stands, wings, frames, poles, and accessories.

  • "Standard Products" means Products manufactured according to ReiterWelt's standard specifications and offered in our regular catalog.

  • "Bespoke Products" or "Custom Products" means Products manufactured according to the Customer's specific requirements, including custom dimensions, colors, branding, or other personalizations not available in our standard catalog.

  • "Contract" means the binding agreement formed between ReiterWelt and the Customer upon our acceptance of an order.

  • "Terms" means these Terms of Service, including Part A (Universal Terms), Part B (Consumer Terms), and Part C (Business Terms), as applicable.

  • "EU" means the European Union, including the European Economic Area (EEA) where the context requires.

2. SCOPE AND APPLICATION

2.1. These Terms govern your use of the Website and all purchases made through our online store.

2.2. By visiting our Website and/or purchasing Products from us, you agree to be bound by these Terms. Please read these Terms carefully before accessing or using the Website. If you do not agree to these Terms, you may not access the Website or use any Services.

2.3. These Terms supersede any conflicting terms you may reference, including any terms in your purchase order or other documentation.

2.4. By agreeing to these Terms, you represent that you are at least eighteen (18) years of age, or that you are the age of majority in your jurisdiction and have given consent for any minor dependents to use this Website.

2.5. Any new features, products, or tools added to the Website shall be subject to these Terms.

2.6. Our Website is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our Products and Services to you.

3. CUSTOMER CLASSIFICATION

3.1. Your classification as either a Consumer or a Business Customer determines which additional terms apply to your purchase:

  1. If you are a Consumer, Part B (Consumer Terms) applies in addition to Part A.

  2. If you are a Business Customer, Part C (Business Terms) applies in addition to Part A.

3.2. You will be classified as a Business Customer if any of the following apply:

  1. You are ordering on behalf of a legal entity (company, partnership, association, or similar);

  2. You provide a VAT identification number during checkout;

  3. You select "Business Customer" or similar option during checkout;

  4. The order is clearly for commercial purposes related to your trade, business, craft, or profession.

3.3. If your classification is unclear, we will treat you as a Consumer unless you confirm otherwise.

3.4. Misrepresenting your status (e.g., claiming Consumer status when acting commercially) may result in adjustment of terms retroactively.

4. WEBSITE USE AND ACCOUNT

4.1. You may browse the Website without creating an account. To place orders, you may be required to provide certain information or create an account.

4.2. You agree to provide current, complete, and accurate purchase and account information for all purchases made through our store.

4.3. You agree to promptly update your account and other information, including your email address and payment details, so that we can complete your transactions and contact you as needed.

4.4. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.5. You must not transmit any worms, viruses, or any code of a destructive nature.

5. ONLINE ORDERING PROCESS

5.1. An order placed through the Website constitutes an offer to purchase Products subject to these Terms.

5.2. A binding Contract is formed when we send you an Order Confirmation email accepting your order, or when we dispatch the Products, whichever occurs first.

5.3. We reserve the right to decline any order for legitimate reasons, including but not limited to: suspected fraud, previous non-payment, inability to fulfill the order, or orders that would violate applicable laws.

5.4. We may limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed under the same customer account, the same payment method, or orders using the same billing and/or shipping address.

5.5. If we make a change to or cancel an order, we will attempt to notify you using the contact information provided at the time the order was made.

6. PRICING, PAYMENT, AND TAXES

6.1. Prices for Products are displayed on the Website and are subject to change without notice until an order is confirmed.

6.2. For EU Consumers, prices displayed include Polish VAT at the applicable rate unless otherwise indicated.

6.3. For Business Customers within the EU providing a valid VAT number, the reverse charge mechanism may apply.

6.4. For Customers outside the EU, prices may be quoted exclusive of import duties, taxes, and customs clearance fees, which are your sole responsibility.

6.5. Payment is processed securely through our payment providers. You understand that your content (not including credit card information) may be transferred unencrypted over various networks. Credit card information is always encrypted during transfer.

6.6. Occasionally there may be information on our Website that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, or availability. We reserve the right to correct any errors and to change or update information or cancel orders if any information is inaccurate, at any time without prior notice (including after you have submitted your order).

7. PRODUCT INFORMATION

7.1. We make every effort to display as accurately as possible the colors and images of our Products. We cannot guarantee that your device's display of any color will be accurate.

7.2. Certain Products may be available exclusively online through the Website. These Products may have limited quantities.

7.3. We reserve the right to modify product specifications to incorporate improvements or comply with applicable regulations, provided such modifications do not materially affect the product's intended use or performance.

7.4. We reserve the right to discontinue any Product at any time. Any offer for any Product made on this Website is void where prohibited.

8. DELIVERY AND RISK

8.1. Delivery times and shipping costs are displayed during checkout and are estimates only.

8.2. For Consumers within the EU: Risk of loss or damage passes to you upon delivery of the Products to you or your designated representative.

8.3. For Business Customers and international orders: Unless otherwise indicated at checkout, delivery is EXW (Ex Works) Elbląg, Poland (INCOTERMS 2020). Risk passes to you when the Products are handed to the first carrier. You are responsible for all shipping costs, import duties, taxes, and customs clearance fees.

8.4. As a service, we offer shipping arrangements for an additional fee as displayed at checkout.

9. INTELLECTUAL PROPERTY

9.1. All intellectual property rights in the Website, Products, and related materials (including designs, trademarks, patents, and trade secrets) remain the exclusive property of ReiterWelt or its licensors.

9.2. You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service or any content on the Website without our express written permission.

10. USER CONTENT AND SUBMISSIONS

10.1. If you send us any submissions (such as creative ideas, suggestions, proposals, or feedback), whether at our request or unsolicited, you agree that we may use, edit, copy, publish, distribute, and otherwise utilize such submissions in any medium without restriction or compensation.

10.2. We are under no obligation to maintain any submissions in confidence, pay compensation for submissions, or respond to submissions.

10.3. You agree that your submissions will not violate any right of any third party, including copyright, trademark, privacy, or other rights. You further agree that your submissions will not contain unlawful, abusive, or obscene material, or contain malware.

10.4. We may, but have no obligation to, monitor, edit, or remove content that we determine to be unlawful, offensive, threatening, defamatory, or otherwise objectionable.

11. THIRD-PARTY LINKS AND TOOLS

11.1. The Website may include links to third-party websites or provide access to third-party tools over which we have no control.

11.2. We provide access to such links and tools "as is" and "as available" without any warranties or endorsement. We shall have no liability arising from your use of optional third-party tools or websites.

11.3. Any use of third-party tools or websites is at your own risk. Please review the third party's policies before engaging in any transaction.

12. PROHIBITED USES

12.1. In addition to other prohibitions in these Terms, you are prohibited from using the Website or its content:

  1. For any unlawful purpose or to solicit others to perform unlawful acts;

  2. To violate any international, national, or local regulations, rules, or laws;

  3. To infringe upon or violate our intellectual property rights or those of others;

  4. To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate;

  5. To submit false or misleading information;

  6. To upload or transmit viruses or malicious code;

  7. To collect or track personal information of others;

  8. To spam, phish, or scrape;

  9. To interfere with or circumvent the security features of the Service.

12.2. We reserve the right to terminate your use of the Service for violating any prohibited uses.

13. DATA PROTECTION

13.1. Your submission of personal information through the Website is governed by our Privacy Policy, available at [Privacy Policy URL].

13.2. ReiterWelt processes personal data in accordance with the General Data Protection Regulation (EU) 2016/679 (GDPR) and applicable Polish data protection laws.

13.3. Personal data collected in connection with your order will be used for order processing, delivery, customer service, legal compliance, and (with your consent) marketing communications.

14. FORCE MAJEURE

14.1. Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from circumstances beyond that party's reasonable control.

14.2. Such circumstances include but are not limited to: natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics or pandemics, strikes, shortage of transportation, facilities, fuel, energy, labor, or materials.

15. AMENDMENTS TO TERMS

15.1. You can review the most current version of the Terms of Service at any time on this page.

15.2. We reserve the right to update, change, or replace any part of these Terms by posting updates to our Website. It is your responsibility to check this page periodically for changes.

15.3. Your continued use of or access to the Website following the posting of any changes constitutes acceptance of those changes.

15.4. The version of the Terms in effect at the time of your order will govern that transaction.

16. SEVERABILITY

16.1. If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be severed from these Terms.

16.2. The remaining provisions shall continue in full force and effect.

17. TERMINATION

17.1. The obligations and liabilities incurred prior to termination shall survive termination of this agreement.

17.2. These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use our Services, or by ceasing to use our Website.

17.3. If in our judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms, we may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination.

PART B: CONSUMER TERMS (B2C SCHEDULE)

IMPORTANT NOTICE FOR CONSUMERS

This Part B applies only if you are a Consumer (a natural person acting outside your trade, business, craft, or profession). These terms are provided in addition to Part A and include important statutory rights that cannot be excluded or limited.


B.1. APPLICATION AND SCOPE

B.1.1. This Part B applies to all Consumers placing orders through the ReiterWelt Website for delivery within the European Union (EU) or European Economic Area (EEA).

B.1.2. If you are a Consumer residing outside the EU/EEA, this Part B does not apply, but nothing in these Terms affects any mandatory consumer protection rights you may have under the laws of your country of residence.

B.1.3. Where there is any conflict between Part A and this Part B, the provisions of Part B shall prevail for Consumer transactions.

B.2. RIGHT OF WITHDRAWAL

B.2.1. For Standard Products, you have a legal right to withdraw from the Contract within fourteen (14) days of receiving the goods (the "cooling-off period") without giving any reason.

B.2.2. To exercise your right of withdrawal, you must inform us of your decision by a clear written statement (e.g., email or letter) before the expiry of the withdrawal period. You may use the Model Withdrawal Form provided in Annex 1, but it is not obligatory.

B.2.3. The withdrawal period expires fourteen (14) days from the day on which you, or a third party indicated by you (other than the carrier), acquires physical possession of the goods.

B.2.4. For orders consisting of multiple goods delivered separately, the withdrawal period expires fourteen (14) days from the day you acquire possession of the last good.

B.3. WITHDRAWAL FORM

B.3.1. A Model Withdrawal Form is provided in Annex 1 to these Terms. You may also submit your withdrawal by email to office@reiterwelt.eu clearly stating your intention to withdraw.

B.3.2. We will send you an acknowledgment of receipt of your withdrawal without delay.

B.4. EFFECTS OF WITHDRAWAL

B.4.1. If you withdraw from the Contract, we will reimburse all payments received from you, including the costs of standard delivery (but not any supplementary costs if you chose a delivery option other than the least expensive standard delivery we offer).

B.4.2. We will make the reimbursement without undue delay and no later than fourteen (14) days from the day we receive the returned goods or you provide evidence of having sent them back, whichever is earlier.

B.4.3. We will make the reimbursement using the same means of payment you used for the initial transaction, unless you have expressly agreed otherwise. You will not incur any fees as a result of the reimbursement.

B.4.4. You must return the goods to us without undue delay and in any event not later than fourteen (14) days from the day on which you communicate your withdrawal. You bear the direct cost of returning the goods.

B.4.5. You are liable for any diminished value of the goods resulting from handling beyond what is necessary to establish their nature, characteristics, and functioning.

B.5. EXCEPTION FOR BESPOKE PRODUCTS

B.5.1. In accordance with Article 16(c) of Directive 2011/83/EU (EU Consumer Rights Directive), the right of withdrawal does not apply to Bespoke Products—that is, any product made to your specifications or clearly personalized.

B.5.2. Before confirming an order for Bespoke Products, we will clearly inform you that you will not have a right of withdrawal for such products. You will be required to acknowledge this before completing your order.

B.5.3. Orders for Bespoke Products are non-cancellable and non-refundable once confirmed, except in the case of defects covered by the legal guarantee or our commercial warranty.

B.6. LEGAL GUARANTEE OF CONFORMITY

B.6.1. As a Consumer within the EU, your purchase is protected by a mandatory legal guarantee of conformity for a period of two (2) years from the date of delivery.

B.6.2. This guarantee is provided by law (Directive (EU) 2019/771 and the Polish Consumer Rights Act) and ensures that the Product conforms to the sales contract. It covers defects that existed at the time of delivery.

B.6.3. A Product is considered to conform to the Contract if it:

  1. Matches the description, type, quantity, and quality specified in the Contract;

  2. Is fit for any particular purpose for which you require it and which you made known to us at the time of the Contract;

  3. Is fit for the purposes for which goods of that type would normally be used;

  4. Possesses the qualities and features that are normal in goods of the same type and that you can reasonably expect.

B.6.4. For the full two-year period, any lack of conformity that becomes apparent is presumed to have existed at the time of delivery unless proven otherwise or unless this presumption is incompatible with the nature of the goods or the defect.

B.7. CONSUMER REMEDIES

B.7.1. If a Product is found to have a lack of conformity, you are entitled to a remedy free of charge.

B.7.2. In the first instance, you may choose to have the Product repaired or replaced, unless the chosen remedy is impossible or would impose disproportionate costs on us compared to the other option.

B.7.3. Repair or replacement shall be completed within a reasonable time and without significant inconvenience to you.

B.7.4. If repair or replacement is not possible or feasible, or has not been completed within a reasonable time, you are entitled to a price reduction proportionate to the decrease in value, or a full refund (termination of the Contract).

B.7.5. You are also entitled to a price reduction or refund if the defect is so serious that it justifies immediate reduction or refund, or if we have declared that we will not remedy the defect.

B.8. COMMERCIAL WARRANTY (SUPPLEMENTARY)

IMPORTANT: This Commercial Warranty is provided IN ADDITION to your statutory legal rights under the legal guarantee of conformity (Section B.6). It does not affect, limit, or replace those rights.


B.8.1. ReiterWelt provides the following Commercial Warranty for Products sold to Consumers:


Five (5) Year Limited Warranty — Aluminum Structural Components

Against corrosion that materially reduces the structural load-bearing capacity of all aluminum components (e.g., jump stands, wings, frames). Cosmetic oxidation, pitting, or discoloration not affecting structural performance is excluded.

Two (2) Year Limited Warranty — Powder-Coat Finish and Non-Wood Components

Against substantial peeling or cracking of the powder-coat finish (defined as affecting more than 10% of the visible coated surface of a component, excluding edges, contact/abrasion points, and areas damaged by impact). Also covers non-wood components (e.g., plastic jump cups, keyhole tracks, fasteners, clips) against defects in materials and workmanship. Color fade, chalking, and gloss loss due to UV exposure are cosmetic and excluded.

One (1) Year Limited Warranty — Wooden Products

On all wooden products (e.g., jump poles) against defects in materials and workmanship.


B.8.2. The warranty period begins on the date of delivery as indicated on your order.

B.8.3. This Commercial Warranty provides repair and replacement terms no less favorable than those required under Article 43d of the Polish Consumer Rights Act (ustawa o prawach konsumenta).

B.9. WARRANTY EXCLUSIONS

B.9.1. Both the legal guarantee and the Commercial Warranty cover manufacturing defects. The following are not covered:


General Exclusions

  • Normal wear and tear from regular use;

  • Damage from improper use, negligence, or accidents;

  • Damage caused by abnormal animal behavior (e.g., kicking, biting, chewing), as distinct from normal contact during intended equestrian use;

  • Unauthorized modifications or repairs;

  • Third-party components or custom graphics (vinyl graphics are warranted solely by their OEM supplier).

Environmental and Chemical Exclusions

  • Damage from chemicals, fertilizers, de-icing salts, aggressive cleaners, ammonia, acids, or alkalis;

  • Persistent animal waste exposure without proper cleaning;

  • Galvanic corrosion from use of unapproved fasteners or fittings.

Wooden Products

  • Natural material characteristics (surface checking, minor splits, curvature, paint checking from humidity/temperature changes) that do not compromise structural functionality;

  • Damage from improper storage (e.g., ground contact, standing water, lack of support).

B.9.2. Warranty coverage requires installation, use, cleaning, and maintenance in accordance with ReiterWelt instructions.

B.9.3. In coastal/marine or desert environments with high UV, airborne salts, or sand abrasion, periodic freshwater washdowns and removal of contaminants are required to maintain coverage.

B.10. MAKING A WARRANTY CLAIM

B.10.1. To initiate a warranty claim, notify us in writing at office@reiterwelt.eu within fourteen (14) days of discovering the defect.

B.10.2. Your notification must include:

  1. Your order number and date of purchase;

  2. A description of the defect;

  3. Clear photographic evidence of the defect.

B.10.3. Do not return Products without receiving a written Return Authorization from our team.

B.10.4. We will assess your claim and respond within a reasonable time, typically within fourteen (14) days.

B.11. SHIPPING COSTS FOR RETURNS

B.11.1. For a claim validated under the legal guarantee of conformity (Section B.6) or the Commercial Warranty (Section B.8), we will cover the cost of return shipping.

B.11.2. If a returned item is inspected and found not to be defective under the terms of the guarantee (e.g., the issue falls under an exclusion), you will be liable for reimbursement of all shipping costs incurred by us.

B.11.3. For withdrawal returns (Section B.2), you bear the direct cost of returning the goods.

B.12. LIMITATION OF LIABILITY

B.12.1. Nothing in these Terms excludes or limits our liability for:

  1. Death or personal injury caused by our negligence;

  2. Fraud or fraudulent misrepresentation;

  3. Breach of obligations arising from the legal guarantee of conformity;

  4. Any other liability that cannot be excluded or limited under applicable law.

B.12.2. Subject to B.12.1, our total liability for any claim arising from the Contract shall not exceed the purchase price paid for the affected Product.

B.13. DISPUTE RESOLUTION

B.13.1. We are committed to resolving any disputes amicably. If you have a complaint, please contact us first at office@reiterwelt.eu.

B.13.2. The European Commission provides an Online Dispute Resolution (ODR) platform for EU consumers. You can access it at:

B.13.3. We are not obligated, and do not currently commit, to participate in dispute resolution proceedings before a consumer arbitration board. However, we will consider participation on a case-by-case basis.

B.13.4. Nothing in this section affects your right to bring legal proceedings in any court of competent jurisdiction.

B.14. GOVERNING LAW

B.14.1. These Terms and any Contract shall be governed by the laws of the Republic of Poland.

B.14.2. If you are a Consumer habitually resident in another EU Member State, you shall also benefit from any mandatory provisions of the consumer protection laws in your country of residence that provide you with a higher level of protection.

B.14.3. You may bring proceedings relating to the Contract in the courts of Poland or, if you are a Consumer, in the courts of your country of residence.

 

PART C: BUSINESS TERMS (B2B SCHEDULE)

NOTICE FOR BUSINESS CUSTOMERS

This Part C applies only if you are a Business Customer (a legal entity or a natural person acting in your trade, business, craft, or professional capacity). These terms are provided in addition to Part A and reflect the commercial nature of B2B transactions.


C.1. APPLICATION AND SCOPE

C.1.1. This Part C applies to all Business Customers placing orders through the ReiterWelt Website.

C.1.2. Where there is any conflict between Part A and this Part C, the provisions of Part C shall prevail for Business Customer transactions.

C.1.3. These terms apply to all orders, including repeat orders, unless otherwise agreed in a separate written agreement signed by both parties.

C.2. NO RIGHT OF WITHDRAWAL

C.2.1. Business Customers do not have a statutory right of withdrawal. All orders are final upon our acceptance and Order Confirmation.

C.2.2. Returns or exchanges of non-defective Products are not permitted unless otherwise agreed in writing.

C.2.3. This does not affect your rights under the Commercial Warranty for defective Products (Section C.4).

C.3. INSPECTION AND NOTICE REQUIREMENTS

C.3.1. The Business Customer must inspect goods immediately upon delivery.

C.3.2. Notification Requirements:

  1. Apparent Defects: You must notify ReiterWelt in writing of any apparent defects within seven (7) calendar days of delivery.

  2. Hidden Defects: You must notify ReiterWelt in writing of any hidden defects within fourteen (14) calendar days of discovery.

C.3.3. Failure to notify within these time limits shall bar claims under this Commercial Warranty, unless ReiterWelt acted fraudulently or in bad faith, or unless the defect was intentionally concealed.

C.3.4. Acceptance of goods without written notification of defects within the applicable time period constitutes acknowledgment that the goods conform to the Contract.

C.4. COMMERCIAL WARRANTY

C.4.1. ReiterWelt provides the following Commercial Warranty for Products sold to Business Customers:


Five (5) Year Limited Warranty — Aluminum Structural Components

Against corrosion that materially reduces the structural load-bearing capacity of aluminum components (e.g., jump stands, wings, frames). Cosmetic oxidation, pitting, or discoloration not affecting structural performance is excluded.

Two (2) Year Limited Warranty — Powder-Coat Finish and Non-Wood Components

Against substantial peeling or cracking of the powder-coat finish (affecting more than 10% of the visible coated surface, excluding edges, contact points, and impact damage). Also covers non-wood components against defects in materials and workmanship.

One (1) Year Limited Warranty — Wooden Products

On all wooden products against defects in materials and workmanship.


C.4.2. The warranty period begins on the date of purchase as indicated on your order.

C.4.3. This Commercial Warranty is non-transferable unless otherwise agreed in writing.

C.5. WARRANTY EXCLUSIONS

C.5.1. The Commercial Warranty covers manufacturing defects only. The following are explicitly excluded:


General Exclusions

  • Normal wear and tear;

  • Damage from improper use, negligence, accidents, or heavy impact;

  • Damage caused by abnormal animal behavior (kicking, biting, chewing);

  • Unauthorized modifications or repairs;

  • Third-party components or custom graphics.

Environmental and Chemical Exclusions

  • Damage from chemicals, fertilizers, de-icing salts, aggressive cleaners, ammonia, acids, or alkalis;

  • Persistent exposure to animal waste without proper cleaning;

  • Galvanic corrosion from use of unapproved fasteners or fittings.

Wooden Products

  • Natural material characteristics (checking, minor splits, curvature) not compromising structural functionality;

  • Damage from improper storage or maintenance.

C.5.2. Warranty coverage requires installation, use, and maintenance per ReiterWelt instructions.

C.5.3. In challenging environments (coastal, marine, desert, high UV), periodic maintenance is required to maintain coverage.

C.6. WARRANTY CLAIMS PROCESS

C.6.1. To initiate a warranty claim, notify us in writing at office@reiterwelt.eu within fourteen (14) days of discovering the defect, including order number, description, and photographic evidence.

C.6.2. Do not return Products without written Return Authorization.

C.6.3. Proof of Purchase: Proof of purchase and serial/batch identification is required for all claims.

C.6.4. Remedy Process: ReiterWelt will, at its sole option:

  1. Repair the defective part;

  2. Replace the defective part; or

  3. If repair or replacement is impracticable, offer a refund or credit proportionate to the remaining warranty period.

C.6.5. Logistics: Remedies are parts-only unless otherwise agreed in writing. The Business Customer is responsible for de-installation and packaging of defective parts for return. ReiterWelt covers outbound shipment of repaired/replacement parts for approved claims.

C.6.6. Shipping Costs: The Business Customer is responsible for all shipping costs, duties, and taxes for returning defective items and for the shipment of any repaired or replacement items.

C.7. DISCLAIMER OF IMPLIED WARRANTIES

EXCEPT FOR THE EXPRESS COMMERCIAL WARRANTY STATED IN SECTION C.4, REITERWELT MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, TO BUSINESS CUSTOMERS.

WE EXPRESSLY DISCLAIM AND EXCLUDE, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ALL PRODUCTS ARE SOLD "AS IS" FOR BUSINESS PURCHASES.


C.8. LIMITATION OF LIABILITY

C.8.1. To the maximum extent permitted by law, ReiterWelt's total aggregate liability to the Business Customer for any and all claims arising from or related to the Contract, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed one hundred percent (100%) of the purchase price paid by the Business Customer for the specific Product giving rise to the claim.

C.8.2. ReiterWelt shall not be liable to any Business Customer for:

  1. Loss of profits, revenue, business, or anticipated savings;

  2. Loss of goodwill or reputation;

  3. Loss of data or corruption of data;

  4. Business interruption or loss of use;

  5. Any indirect, special, incidental, consequential, or punitive damages.

C.8.3. The limitations in this Section C.8 shall not apply to:

  1. Liability for death or personal injury caused by ReiterWelt's negligence;

  2. Liability for fraud or fraudulent misrepresentation;

  3. Liability arising from ReiterWelt's intentional misconduct or gross negligence (rażące niedbalstwo);

  4. Any other liability that cannot be excluded or limited under mandatory applicable law.

C.9. INDEMNIFICATION

C.9.1. The Business Customer agrees to indemnify, defend, and hold harmless ReiterWelt and its parent company, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from any claim, demand, or damages (including reasonable attorneys' fees) made by any third party due to or arising out of:

  1. The Business Customer's breach of these Terms;

  2. The Business Customer's violation of any applicable law or regulation;

  3. The Business Customer's infringement of the rights of any third party;

  4. Any use, modification, or resale of Products by the Business Customer or its customers.

C.10. TITLE RETENTION (ZASTRZEŻENIE WŁASNOŚCI)

C.10.1. Ownership and title to all delivered Products shall remain with ReiterWelt until all payments arising from the business relationship have been received in full, including any interest and costs.

C.10.2. Until title passes, the Business Customer:

  1. Shall hold the Products as bailee for ReiterWelt;

  2. Shall store the Products separately and ensure they are identifiable as ReiterWelt's property;

  3. Shall maintain adequate insurance for the Products against all risks.

C.10.3. The Business Customer may resell the Products in the ordinary course of business but hereby assigns to ReiterWelt all claims arising from such resale.

C.11. PAYMENT TERMS

C.11.1. For online orders, payment is processed at checkout through our payment providers.

C.11.2. For Business Customers with approved credit accounts, payment terms may be arranged separately. Contact office@reiterwelt.eu for credit account inquiries.

C.11.3. Late payments shall incur interest at the statutory rate for commercial transactions under Polish law.

C.12. SET-OFF

C.12.1. The Business Customer may only set off claims against amounts owed to ReiterWelt if such claims are:

  1. Undisputed and acknowledged in writing by ReiterWelt; or

  2. Finally determined by a court of competent jurisdiction.

C.12.2. The Business Customer may not withhold payment based on disputed claims.

C.13. GOVERNING LAW AND JURISDICTION

C.13.1. These Terms and any Contract with a Business Customer shall be governed by and construed in accordance with the laws of the Republic of Poland.

C.13.2. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

C.13.3. The exclusive jurisdiction for any disputes arising from or related to these Terms or any Contract shall be the competent courts in Elbląg, Poland.
